Business Overview

-The Company is an automotive supplier specializing in developing and manufacturing technology solutions to improve the performance, efficiency and environmental qualities for powertrains of combustion, hybrid and electric vehicles.

-As of December 31, 2025, the Company is organized into four reportable segments: Turbos & Thermal Technologies, Drivetrain & Morse Systems, PowerDrive Systems, and Battery & Charging Systems. In the third quarter of 2024, the Company added a new business unit and restructured its organization into its current form. Previously, the Company was comprised of five reportable business segments; Air Management, Drivetrain & Battery Systems, ePropulsion, Fuel Systems, and Aftermarket. The spin-off of Phinia in July 2023 resulted in the removal of the Fuel Systems and Aftermarket segments. In February 2025, the Company decided to exit the charging business within the Battery & Charging Systems reportable segment, stopping all related production operations in the second quarter of 2025.

Segment Details
Turbos & Thermal Technologies The segment develops and manufactures products to improve fuel economy, reduce emissions, and improve vehicle performance. Its products include turbochargers, eBoosters, eTurbos, emissions systems, thermal systems, gasoline ignition technology, smart remote actuators, powertrain sensors, cabin heaters, battery heaters, and battery cooling systems.
Drivetrain & Morse Systems The segment’s products include hydraulic control systems, friction and mechanical clutch products, torque-management products, coupling systems, chain systems, and variable camshaft phasing products.
PowerDrive Systems The segment develops technologies and systems powering electric and hybrid vehicles. Its products include inverters, onboard chargers, DC/DC converters, combination boxes, eMotors, generators, and fully integrated drive modules. The segment also develops various electronic control units including engine control units, transmission control units, battery management systems, propulsion controllers and domain controllers.
Battery & Charging Systems The segment provides lithium-ion battery systems for bus, truck- and off-highway applications and DC fast chargers. Its products include NMC and LFP battery packs.

-Previously, the Company had implemented the Charging Forward electrification strategy to steadily expand its electrification technology and product portfolio. The strategy focused on the three elements of scaling organic growth in electric vehicles, executing mergers and acquisitions to expand the Company’s EV portfolio, and optimize the Company’s combustion portfolio with divestitures between USD 3 and 4 billion in annual revenue. However, the Company has shifted its strategy to focus on profitable growth across its portfolio supporting electric, hybrid, and combustion vehicles. The Company will continue to grow its portfolio with organic investments and technology-focused acquisitions. The Company’s shift in strategy is due to its viewpoint of favoring a balanced product and technology portfolio, as EV adoption has become more inconsistent in recent years across various regional markets. This is further highlighted by its plans to enter the data center market through a new supply agreement with TurboCell to supply a modular turbine generator system, utilizing the Company’s core competencies in the automotive market.

-While the Company has changed its strategic focus towards a balanced product portfolio, it has still seen growth of its electrification products and technologies. The Company’s revenue from eProducts, or products used in EVs and hybrid powertrains, grew to USD 2.6 billion in the fiscal year ended December 31, 2025, compared to USD 2.3 and 2.0 billion in the previous two fiscal years. The Company’s eProducts revenue in the fiscal year ended December 31, 2025 comprised 18% of its total revenue, up from 17% and 14% in the previous two years.
