Business Overview

-The Company is a supplier which primarily manufactures powertrain components, sealing systems, and friction products for markets including the automotive and commercial vehicle market, among others.

-The Company is organized into two business segments:

  • Powertrain segment: original equipment powertrain products; about 95% of FY 2016 revenue was derived from OE customers
  • Motorparts segment: aftermarket components with a small focus on OEM braking, wiper, and sealing component; approximately 72% of FY 2016 sales were derived from sales to customers in the aftermarket

-On September 6, 2016, the Company, American Entertainment Properties Corp. (AEP), the parent and a subsidiary of Icahn Enterprises L.P. (IEP), and IEH FM Holdings LLC (Merger Sub) entered into an Agreement and Plan of Merger. On January 23, 2017, AEP, and Merger Sub completed the acquisition of the Company as all terms and conditions set forth in the Merger Agreement were satisfied. Shares of the Company's stock are no longer publicly traded as of the close of business January 23, 2017.
