Business Overview

-The Company is an automotive supplier specializing in developing and manufacturing technology solutions to improve the performance, efficiency and environmental qualities for powertrains of combustion, hybrid and electric vehicles.

-The Company is organized into three reportable segments: Air Management, Drivetrain & Battery Systems, and ePropulsion. Previously, the Company’s results featured four reportable segments: Air Management, ePropulsion & Drivetrain, Fuel Systems and Aftermarket. During the first quarter of 2023, the Company divided its Air Management and ePropulsion & Drivetrain segments into Air Management, Drivetrain & Battery Systems, and ePropulsion segments, resulting in a total of five segments in the Company. Due to the spin-off of Phinia in July 2023, the Fuel Systems and Aftermarket segments are no longer reportable.

Segment Details
Air Management This segment develops and manufactures systems to improve fuel economy, reduce emissions and improve performance. Its products include turbochargers, eBoosters, eTurbos, timing systems, emission systems, thermal systems, battery modules, battery packs, and battery charging.
Drivetrain & Battery Systems This segment develops and manufactures battery modules and systems, control modules, friction and mechanical clutch products for automatic transmissions, torque-management products, and RWD and AWD transfer case systems and coupling systems.
ePropulsion This segment develops and manufactures systems providing enhanced performance and efficiency to power electric and hybrid vehicles. Its products include inverters, onboard chargers, DC-DC converters, combination boxes, rotating electric machines such as eMotors and generators, and electronic control units.

 

-In 2021, the Company announced the Charging Forward electrification portfolio strategy to actively grow its electrification products and systems over time through organic investments and acquisitions. As part of the strategy, the Company completed the spin-off of its Fuel Systems and Aftermarket segments as a separate independent public company named Phinia. The spin-off was completed on July 3, 2023.

-On March 1, 2023, the Company completed the acquisition of Hubei Surpass Sun Electric’s electric vehicle solution, smart grid, and smart energy businesses for a total consideration of CNY 288 million. The acquisition will support the Company’s electrification business in Asia and complement its charging footprint in Europe and North America.

-On December 1, 2023, the Company completed the acquisition of the electric hybrid systems business segment of Eldor Corporation, expanding its capabilities in high-voltage power electronics such as on-board chargers, DC-DC converters, and integrated high-voltage boxes. The Company paid EUR 72 million for the acquisition on closing, with up to EUR 175 million in earn-out payments that could be paid over the two years following the completion of the acquisition.
