Contracts

-In May 2011, PT Astra Komponen Indonesia, a factory located on Cibinong, Bogor, supplied the painting products to Astra Honda Motor for the first time.

New Company

-In 2011, the Company held a Grand Opening of PT TD Automotive Compressor Indonesia (TACI), at its plant located in Bekasi, West Java. TACI is a manufacturer of high quality compressor components.

Joint Ventures

-Akebono Brake Industry Co., Ltd. announced on August 8 that it will establish a new company on the outskirts of Hanoi, Vietnam in partnership with an Indonesian-based PT Astra Otoparts Tbk. in November. Akebono's products for Vietnam have so far been exported from its group companies in Indonesia and Thailand. Production of parts for the local market will begin as early as July next year with the production equipment transferred to Vietnam. The new company called "Akebono Brake Astra Vietnam" aims to achieve 1.2 billion yen in sales in 2015. At the start of operation, it will assemble disc brakes, brake pads and master cylinders for motorcycles at the local Yamaha plant. Thereafter, the joint venture intends to expand production capacity with an eye on production of motorcycle components, as well as of automobile brake components in the future. -In 2011, Visteon Corporation and PT Astra Otoparts, Tbk, an Indonesian automotive component manufacturer, announced plans to form a new joint venture that will supply electronic instrument clusters to automotive and motorcycle manufacturers in Indonesian market. The new joint venture, PT Astra Visteon Indonesia, will be based in Citeureup, Bogor, and is scheduled to start production in the first quarter of 2012. The joint venture is a 50-50 partnership between the two companies. (From a press release on April 19, 2011)

Technology Licensing-in Agreements

-PT Kayaba Indonesia signed an agreement to license in technology from KYB, its joint-venture partner, for automotive shock absorbers, and motorcycle front forks and oil cushion units. The agreement, which covers industrial property rights; manufacturing and sales rights; and technological knowledge, information and expertise, is from February 1, 2010 to January 31, 2014.

-PT Federal Nittan Industries renewed the technical-license agreement it formed with its joint-venture partner Nittan Valve. The licensing agreement, which covers compact engine valves, is for a five-year period starting June 1, 2010. The Company is paying Nittan Value licensing fees for some of the technical rights. 

Investment Activities

Capital Expenditure

-In FY ended Dec. 31, 2011, the Company and subsidiaries had commitments to purchase land, machineries and equipments amounting to Rp 187 billion mainly for the Company's and subsidiaries' expansion.

-The Company's joint-venture partner, Akebono Brake, plans to invest 1,200 million yen in facilities and equipment at PT Akebono Brake Astra Indonesia to manufacture disk-brakes and brake components. Akebono Brake also is planning to invest in 300 million yen in facilities and equipment at Akebono Brake Astra Vietnam Co., Ltd. to manufacture disk-brakes and master cylinders. 

-The Company's joint-venture partner, Nittan Value, plans to invest 450 million yen in facilities and equipment at PT Federal Nittan Industries in the 2012 fiscal year ending in December. The investment will be used to upgrade and renew facilities and equipment producing compact engine values, as well as to increase production capacity, which is forecast to rise by 12% after the investment project has been completed.

Investment in Indonesia

-In Sep. 2011, PT Century Batteries Indonesia (CBI) held a ground breaking ceremony of its new factory in Kawasan Industri Mitra Karawang. The total land area of CBI's Karawan factory is 5-hectare.

-In Sep. 2011, PT Nusa Keihin Indonesia held a new factory ground breaking ceremony in Cibitung. The total of land area is 13,000 m2.

-In Mar. 2011, PT Federal Izumi Manufacturing inaugurated a new foundry building.

-In Jan. 2011, PT GS Battery conducted the inauguration of its 3rd factory, with total area of 4,320 m2, complemented the existing two factories.

-In Jan. 2011, PT Menara Terus Makmur build new plant of machining and forging in new area, next to the existing area.

-In FY ended Dec. 31, 2011, PT Astra Komponen Indonesia has expanded its plastic component business with production capacity of 2,200 sets per day to grasp the opportunity of market growth.
