-The Company is a global mobility and motion technology company focused on developing, manufacturing, and servicing components and systems including bearings, transmissions, gearboxes, dampers, sensors, ECUs, actuators, electronics, electric drive systems, energy generation systems, energy storage systems, and digital services for powertrain and chassis applications across various markets including the automotive, commercial vehicle, rail, and industrial sectors.

-Through the fiscal year ended December 31, 2024, the Company was organized into three primary divisions consisting of Automotive Technologies, Vehicle Lifetime Solutions, and Bearings & Industrial Solutions, as well as the Others division. In the beginning of 2024, the Company reorganized its reporting structure, integrating the Bearings business division formerly under the Automotive Technologies division into the Industrial Division and renaming the new division as the Bearings & Industrial Solutions division. In addition, the Company renamed the Automotive Aftermarket division to the Vehicle Lifetime Solutions division.

-At the beginning of 2025, the Company reorganized its reporting structure into four primary divisions as well as the Others division, each comprised of multiple individual business divisions. The E-Mobility division is comprised of the former E-Mobility business division under the former Automotive Technologies division combined with Vitesco’s Electrification Solutions Division. The Powertrain & Chassis division is comprised of the Engine & Transmission Systems and Chassis Systems business divisions from the former Automotive Technologies division combined with Vitesco’s Powertrain Solutions Division, excluding Vitesco’s aftermarket activities. The Vehicle Lifetime Solutions division adds Vitesco’s aftermarket activities in the Powertrain Solutions Division to the Company’s existing aftermarket activities and is organized based on customer groups. The Bearings & Industrial Solutions division also has reorganized its business divisions based on products instead of by region. Finally, the Others division is comprised of several business activities, including hydrogen and humanoid technologies operations that were formerly part of the Bearings & Industrial Solutions division.

-The activities for the Company’s four primary divisions are listed below:

  • E-Mobility division: Develops and manufactures mechanical, mechatronic, and electronic components and systems involving powertrain electrification of passenger and commercial vehicles, with applications in hybrid, fully electric, and fuel cell vehicles.
  • Powertrain & Chassis division: Develops and manufactures components and systems for engine, transmission, and chassis applications for ICE, hybrid, and electric vehicles.
  • Vehicle Lifetime Solutions division: Provides spare parts and repair solutions for passenger vehicles, commercial vehicles, two-wheeled vehicles, and off-highway vehicles.
  • Bearings & Industrial Solutions division: Develops and manufactures rotary and linear bearing solutions, drive components and systems for industrial and automotive applications.


-Effective January 2024, the Company slightly restructured its operating divisions, shifting the Bearings business division from the Automotive Technologies division to the Industrial division. In addition, the Company renamed the Automotive Aftermarket and Industrial divisions to the Vehicle Lifetime Solutions and Bearings & Industrial Solutions divisions, respectively. The operational restructuring is not reflected in the financial figures and information for the fiscal year ended December 31, 2023.

-In November 2023, the Company launched a public tender offer for all outstanding shares in Vitesco Technologies Group AG, with the tender offer concluding in January 2024. The Company entered into a formal business combination agreement with Vitesco to create a new combined company under the same Company name Schaeffler AG. Following the conclusion of the public tender offer, the Company entered into a merger agreement with Vitesco in March 2024, following the approval of both companies’ Supervisory Boards. The Company’s Annual General Meeting approved the agreement of Vitesco on April 25, 2024. On October 1, 2024, the Company completed the merger with Vitesco. The new combined entity has approximately 120,000 employees and annual pro-forma sales of approximately EUR 25 billion.

2002 INA acquired FAG Kugelfischer Georg Schafer AG, Schweinfurt. INA and FAG become the world's second largest rolling bearing manufacturer.
INA's new R&D center of expertise doubled development capacity in Herzogenaurach.
2003 INA, FAG and LuK formed the Schaeffler Group.
The Group opened a new automotive research center in Troy (United States).
LuK opened the sales and development building at the headquarters in Buhl.
2005 LuK took over APTEC and completed therefore the competence in the range of the friction facings. APTEC became LuK Friction.
2006 LuK sold their Business Unit of Pumps.
The FAG Kugelfischer AG & Co. oHG and the INA-Schaeffler KG were integrated in the Schaeffler Group.
2007 INA opened a plant in Pune/India.
The Group inaugurated the new R&D Center in Anting/China and the second plant in Taicang.

2012 As of January 1, Schaeffler Technologies GmbH & Co. KG has changed its name to Schaeffler Technologies AG & Co. KG.
2014 -Schaeffler AG, a wholly-owned subsidiary of Schaeffler Verwaltungs GmbH, was changed to a limited liability company ("Gesellschaft mit beschränkter Haftung") when that change was entered into the Commercial Register on October 23, 2014. It was also renamed Schaeffler Verwaltung Zwei GmbH as of that date.
-On October 24, 2014 (date entered in the Commercial Register), INA Beteiligungsgesellschaft mit beschränkter Haftung was changed to a stock corporation ("Aktiengesellschaft") and renamed Schaeffler AG.
Dec. 2016 Formed purchase contract with Semikron International GmbH for 51% of the shares of Compact Dynamics GmbH, a manufacturer of high-performance electric motors.
