Business Overview

-The Company manufactures integrated circuits and discrete semiconductors through a combination of wholly owned manufacturing facilities, manufacturing facilities operated jointly with other semiconductor companies and third-party foundries and assembly and test subcontractors.

-The Company was formerly Philips's semiconductor division.

-The Company is a leader in high-performance, mixed-signal (HPMS) semiconductor solutions, and is especially strong in Near Field Communication (NFC) technology.

-In March 2015, the Company entered into a definitive agreement under which it would merge with Freescale Semiconductor Ltd. The merger was completed on December 7, 2015.

-The Company is the global market leader in the automotive semiconductor market. The Company has a 14% market share in automotive semiconductors.

Recent Developments

-On October 27, 2016, the Company and Qualcomm Incorporated announced a definitive agreement, unanimously approved by the boards of directors of both companies, under which Qualcomm will acquire the Company. Qualcomm is a world leader in 3G, 4G and next-generation wireless technologies. On February 2018, the Company entered into a Purchase Agreement with Qualcomm revised its tender offer to acquire all of the Company’s outstanding common shares. The resulting entity is expected to have annual revenues of more than USD 30 billion, serviceable addressable markets of USD 138 billion in 2020 and leadership positions across mobile, automotive, IoT, security, RF and networking. As of May 2018, the acquisition has not yet closed.

-In March 2015, the Company entered into a definitive agreement under which it would merge with Freescale Semiconductor Ltd. The merger was consummated on December 7, 2015. As a result, Freescale's results of operations are included in NXP's Consolidated Statements of Operations for the period of December 7, 2015 through December 31, 2015.
