-Alpine Electronics, Inc. (Alpine Electronics) held an extraordinary shareholders’ meeting on December 5, and its proposal to merge with Alps Electric Co., Ltd. (Alps Electric) was approved. Oasis Management Company Ltd. (Oasis Management Company), a Hong Kong-based investment fund, holds about a 10% stake in Alpine Electronics, and was against the merger. Oasis Management Company’s proposal for the dividend of JPY 300 per share in an attempt to win negative votes found little support. Alpine Electronics and Alps Electric will exchange their shares and merge to become Alps Alpine Co., Ltd. on 1 January 2019 in order to survive the revolutionary period in the automotive industry. In the share exchange, Alpine Electronics’ shareholders will receive 0.68 Alps Electric shares per one Alpine Electronics share. Alpine Electronics will pay a dividend of JPY 100 per share, and Alps Electric will purchase JPY 40 billion worth of its own shares after the merger as returns to its shareholders.
