New Companies

-The Company announced that it will invest in Ningbo Zhongcheng New Energy Industry Investment Management Co., Ltd., a new joint-venture company to be established in Yinzhou District, Ningbo for the new energy solution business for public transportation. Joyson Electronics will invest CNY 50 million, 10% of the joint venture's planned capital of CNY 500 million. Other shareholders of the joint venture will include Ningbo Zhongcheng Equity Investment Management Co., Ltd. that will provide 60% (CNY 300 million), Ningbo Chancheng Investment Management Co., Ltd. that will offer 20% (CNY 100 million), and Ningbo Youngor Health Science Industry Investment Fund Limited Partnership that will invest 10% (CNY 50 million). -The Company announced that it will establish a joint venture with Ningbo Industrial Investment Group Co., Ltd. and Ningbo Meishan Island Development & Investment Co., Ltd. The new company will be called Ningbo Shengxin Electronic Science & Technology Co., Ltd. It will be capitalized at CNY 100 million, of which 55 percent will be invested by Ningbo Joyson, 25 percent will be invested by Ningbo Industrial Investment, and 20 percent will be invested by Ningbo Meishan Island Development & Investment. The joint venture will mainly produce semiconductor integrated circuits, splitter parts, electronic parts and units, automotive electronic control systems, and sensors. -The Company, Ningbo Chancheng Investment Management Co., Ltd., and Ningbo Nanxin Industrial Investment Co., Ltd. will jointly establish Ningbo Chancheng Joyson New Energy Science & Technology Co., Ltd. in Yinzhou District, Ningbo to develop and produce new energy products. Share Transfer

-The Company will transfer a 95% stake in Huade Plastics Co., Ltd. it owns jointly with Changchun Joyson Electronic Auto Parts Co., Ltd., its subsidiary, to Ningbo Shengfeite Investment Management Co., Ltd. for CNY 440 million. Ningbo Joyson Electronic currently owns an 82.3% share that is worth CNY 381 million, while Changchun Joyson Electronic has a 12.7% share that is worth CNY 59 million. -The Company announced that it will acquire all Zhejiang Boshen Electronic Co., Ltd. shares owned by its subsidiary, Changchun Joyson Electronic Auto Parts Co., Ltd., and change the company's name to Ningbo Joyson Science & Technology Co., Ltd.
