Business Overview
-The Company is a leading global designers, manufacturers and marketers of automotive products for original equipment and aftermarket customers. It is driving advancements in mobility by delivering technology solutions for diversified global markets, including light vehicle, commercial truck, off-highway, industrial, motorsport and the aftermarket.
-The Company was organized into four independent business groups, which currently both exist within Tenneco’s organization structure:

-On February 14, 2017, the Company converted to a single member limited liability company, making it a private entity. Shares of the Company are no longer publicly traded, and the Company has been delisted.
-On October 2018, Tenneco completed the acquisition of the Company for a total consideration of USD 5.4 billion. Following this acquisition, Tenneco plans to separate the combined businesses into two, independent, publicly traded companies in late 2019. One company will consist of Tenneco’s Aftermarket, Ride Performance and Motorparts segments while the other will consist of its Powertrain and Clear Air segments.

Shareholders
-On September 6, 2016, the Company, American Entertainment Properties Corp. (AEP), the parent and a subsidiary of Icahn Enterprises L.P. (IEP), and IEH FM Holdings LLC (Merger Sub) entered into an Agreement and Plan of Merger. On January 23, 2017, AEP, and Merger Sub completed the acquisition of the Company as all terms and conditions set forth in the Merger Agreement were satisfied. Shares of the Company's stock are no longer publicly traded as of the close of business January 23, 2017. The Company converted to a single member limited liability company on February 14, 2017.
-On October 2018, Tenneco completed the acquisition of the Company for a total consideration of USD 5.4 billion. At the time of the acquisition, Tenneco was listed on the New York Stock Exchange. Tenneco plans to separate the combined businesses into two, independent, publicly traded companies in late 2019. The company will consist of Tenneco’s Aftermarket, Ride Performance and Motorparts segments while the other will consist of its Powertrain and Clear Air segments.
